Terms of Service

1. Acceptance of Terms

By accessing or using the Three Flags mobile application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by DA 140 Solutions LLC, a limited liability company registered in the State of New York ("we," "us," or "our"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to keep this information up to date. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of content you submit through the Service, including reviews, stories, date posts, itineraries, photos, and other materials ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and improving the Service.

You agree not to submit content that is unlawful, defamatory, obscene, fraudulent, or that infringes on the rights of others. We reserve the right to remove any User Content at any time, for any reason, without notice.

Reporting Objectionable Content and Abusive Users. To report objectionable content or an abusive user, use the in-app reporting flow available on reviews, stories, events, and user profiles, or email us at support@threeflagsdating.com. We review reports within 24 hours of receipt and take appropriate action, which may include removing content, restricting accounts, or terminating accounts. You can also block other users from interacting with you or appearing in your feed through the in-app block feature available on any user profile.

5. Business Partner Terms

If you register for a business partner account, the following additional terms apply:

  • Event and Listing Submissions.Business partners may submit events, promotions, and location information ("Business Content") for display on the Service. All Business Content is subject to review and approval at our sole discretion.
  • Right to Remove. We reserve the right to remove, modify, or refuse to display any Business Content at any time, for any reason, with or without notice. This includes, but is not limited to, content that we determine to be inaccurate, misleading, inappropriate, or otherwise not in the best interest of our users.
  • License to Business Content. By submitting Business Content (including event details, venue information, descriptions, images, logos, and associated business names and branding), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, syndicate, publicly display, and perform such Business Content on the Service and through any third-party channels, including but not limited to partner applications and websites, event aggregators, search engines, social media platforms, email and push communications, and promotional or marketing materials, in any medium now known or later developed. You acknowledge that Business Content is commercial listing information intended for public distribution and is not personal information of any individual. You represent and warrant that you have all rights necessary to grant this license. We may share, syndicate, or otherwise distribute Business Content to third parties without any obligation of further notice, attribution, or compensation to you.
  • No Guarantee of Display. Submission of Business Content does not guarantee that it will be displayed on the Service. Approval, placement, and duration of display are determined at our sole discretion.
  • Accuracy of Information. You represent and warrant that all Business Content you submit is accurate, current, and not misleading. You agree to promptly update any information that becomes inaccurate.
  • Event Editing and Resubmission.You may edit previously submitted events at any time. Editing an event resets its status to "pending" and requires a new review before it will be displayed again on the Service.
  • Schedule Expiration. Recurring event schedules expire after 30 days and must be renewed to remain active. We are not responsible for events that are not displayed due to expired schedules.
  • Email Notifications. By registering as a business partner, you consent to receiving transactional emails related to your account, including event submission confirmations, approval or rejection notices, and password reset links.
  • Rate Limits. To maintain service quality, we enforce daily limits on certain actions (e.g., event submissions). Attempts to circumvent these limits may result in account suspension.
  • No Endorsement. Display of Business Content on the Service does not constitute an endorsement, recommendation, or guarantee by us regarding the quality, safety, or legality of any business, venue, or event.

6. Business Partner Subscriptions and Billing

Listing a venue on the Service map requires an active subscription. Pricing, billing, and cancellation are governed by the following terms:

  • Pricing. Each location costs USD $20 per month or USD $200 per year, charged per location. Prices are exclusive of any applicable taxes, which are calculated and added at checkout.
  • Free Trial. First-time business partners receive a 7-day free trial upon signing up for a paid plan. The trial covers all locations you add during the trial window. If you do not cancel before the trial ends, your payment method will be charged automatically for the locations you have on file. Resubscribers (business partners who previously had a subscription) do not receive an additional free trial.
  • Payment Processor.Payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's terms of service. We do not store or have direct access to your full payment card details; Stripe handles that data under their own privacy policy and PCI compliance.
  • Auto-Renewal. Subscriptions renew automatically each billing period until canceled. You authorize us (via Stripe) to charge your payment method on file for the recurring fee plus any applicable taxes.
  • Adding Locations. Adding a location after the trial period bills a prorated charge for the remainder of the current billing period; the new location is then included in subsequent recurring charges.
  • Removing Locations. When you remove a location, it remains active (and your events at that location remain visible on the Service) through the end of the current billing period. At the period boundary the location is removed and your next bill reflects the reduced location count. Removed locations within the same billing period can be re-added at no additional charge.
  • Failed Payments.If a payment fails, your events will be hidden from the Service until the payment is successfully resolved. We will email you with a link to update your payment method. We may continue to attempt the charge in accordance with Stripe's default retry schedule. If payment is not resolved, your subscription may be canceled and your locations removed.
  • Cancellation. You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. Your locations and events remain visible through that period; after that, all locations are removed and your access to paid features ends.
  • Refunds. Subscriptions are non-refundable except where required by law. We may consider refund requests on a case-by-case basis at our sole discretion. Contact support@threeflagsdating.com with refund requests.
  • Price Changes. We may change subscription pricing from time to time. Material price changes will be communicated to you in advance and will take effect at the start of your next billing period. Continued use of the subscription after a price change constitutes acceptance of the new price.
  • Taxes. Sales tax, VAT, or other applicable taxes are calculated by Stripe Tax based on the billing address and tax registration information you provide, and added to each invoice.

7. Notifications and Location-Based Features

The Service sends push notifications about activity on your account, content you follow, and events we think are relevant to you. If you grant location permission, this includes notifications when a new event is approved within a short distance of your last-known location. You can turn off nearby-event notifications under Settings in the app, and you can revoke location permission at any time through your device's operating-system settings. Handling of the location data we receive is described in our Privacy Policy.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to access or scrape the Service without permission
  • Circumvent rate limits or other technical restrictions on the Service
  • Harass, abuse, or harm other users

9. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by DA 140 Solutions LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not endorse or guarantee the accuracy, completeness, or reliability of any content on the Service, including user reviews, business information, event details, or venue recommendations. You use the Service and rely on any information at your own risk.

Event Listings. Event information displayed on the Service — including dates, times, locations, prices, capacity, availability, age requirements, and other details — is submitted by business partners, individual users, or aggregated from third-party sources. We do not independently verify event details and make no representation or warranty that any event listing is accurate, current, or complete. Events may be modified, postponed, relocated, sold out, or cancelled at any time without notice to us. Before relying on any event listing, you should confirm the details directly with the venue or organizer. We are not responsible for any loss, expense, or inconvenience resulting from inaccurate, outdated, or cancelled event information, or from your reliance on any event listing.

Discretion to Remove or Hide Listings. We may remove, hide, modify, decline to display, or otherwise restrict any event, venue, or listing on the Service at any time, in our sole discretion, for any reason or no reason, with or without notice. This right applies to all listings on the Service, regardless of whether they were submitted by a business partner, an individual user, or sourced from a third party.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DA 140 SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

12. Indemnification

You agree to indemnify and hold harmless DA 140 Solutions LLC from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
